These Terms of Use (“Terms”) govern your access to and use of intelasec.com (the “Site”), operated by Intelasec LLC (“Intelasec,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms. If you do not agree to these Terms, do not use the Site.

1. Purpose of the Site

The Site provides general information about Intelasec, its business, and its products and services.Information presented on the Site is provided for informational purposes only.

Nothing on the Site constitutes an offer to sell, a solicitation to purchase, or a commitment to provide any product, service, capability, deployment, or other commercial arrangement.

Any engagement with Intelasec is subject to separate discussions, evaluation, and, where applicable, definitive written agreements executed by the relevant parties.

2. No Professional Advice

Information on the Site does not constitute legal, regulatory, compliance, financial, investigative, security, or other professional advice.

You should not rely on information presented on the Site as a substitute for advice appropriate to your particular circumstances.

3. Intellectual Property

The Site and its contents, including text, graphics, logos, names, designs, visual elements, concepts, organization, and other materials, are owned by or licensed to Intelasec and are protected by applicable intellectual property and other laws.

Intelasec, Orynt, their associated names and marks, and other Intelasec identifiers are proprietary to Intelasec or its affiliates, as applicable.

Intelasec and its affiliates may own or control patents, patent applications, trade secrets, know-how, copyrights, trademarks, and other intellectual property relating to technologies, systems, methods, processes, products, and services described or referenced on the Site.

Your access to the Site does not grant you any license or other right, whether express, implied, by estoppel, or otherwise, under any patent, patent application, copyright, trademark, trade secret, know-how, or other intellectual property right of Intelasec or any of its affiliates.

No description of a product, capability, concept, function, or potential application on the Site should be interpreted as granting a right to use, reproduce, implement, derive, or commercially exploit any underlying technology or intellectual property.

4. Limited Permission to Use the Site

Subject to these Terms, Intelasec grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for lawful informational and business purposes.

You may not, without Intelasec's prior written permission:

• reproduce, republish, distribute, modify, or create derivative works from substantial portions of the Site;

• use Site content to misrepresent an affiliation with, endorsement by, or relationship with Intelasec;

• remove or alter copyright, trademark, proprietary, or other notices;

• use the Site or its contents in violation of applicable law or the rights of another person; or

• attempt to gain unauthorized access to the Site, its infrastructure, or systems associated with it.

Nothing in these Terms restricts rights that cannot lawfully be restricted.

5. No Rights in Intelasec or Orynt Products

Access to the Site does not provide access to, or any right to use, Intelasec, Orynt, or any other Intelasec product, platform, system, technology, software, documentation, data, model, methodology, or service.

Product and capability descriptions on the Site are general descriptions only. They do not constitute technical specifications, warranties, service levels, performance commitments, implementation commitments, or representations that any particular capability will be available in a particular deployment.

The scope, configuration, availability, implementation, permitted use, and contractual terms of any Intelasec product or service are determined solely through applicable definitive written agreements.

6. Confidential and Non-Public Information

The Site contains information Intelasec has elected to make publicly available. Access to public Site content does not authorize access to or use of Intelasec's confidential, proprietary, or non-public information.

Information provided separately by Intelasec in connection with discussions, demonstrations, presentations, evaluations, proposed engagements, or other business activities may be subject to separate confidentiality obligations or agreements. These Terms do not supersede those obligations.

7. Communications with Intelasec

The Site may provide email addresses or other means of contacting Intelasec.

Unless Intelasec has separately agreed in writing to confidentiality, you should not assume that unsolicited information submitted through general website-related communications will be treated as confidential.

Do not send trade secrets, sensitive personal information, regulated information, credentials, or other information requiring special protection through general website-related email addresses unless Intelasec has expressly authorized that method of communication.

Communicating with Intelasec through the Site or an email address displayed on the Site does not create a contractual, advisory, fiduciary, professional, or other special relationship.

8. Accuracy and Changes

Intelasec seeks to provide useful and accurate information, but information on the Site may be incomplete, become outdated, or contain errors.

Intelasec may modify, remove, update, or discontinue Site content at any time without notice.

References to products, capabilities, markets, industries, use cases, or potential applications do not constitute a representation that Intelasec currently offers, will offer, or will continue to offer a particular product, capability, or service in every jurisdiction or circumstance.

9. Third-Party Links

The Site may contain links to websites, resources, or services operated by third parties.

Intelasec does not control and is not responsible for third-party websites, content, privacy practices, security, products, or services. A link does not imply endorsement, sponsorship, or affiliation unless expressly stated.

Your use of third-party websites and services is governed by the terms and policies applicable to those services.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

INTELASEC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, RELATING TO THE SITE OR ITS CONTENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

INTELASEC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS, OR THAT INFORMATION ON THE SITE WILL AT ALL TIMES BE COMPLETE, ACCURATE, OR CURRENT.

Nothing in this section excludes warranties or rights that cannot lawfully be excluded.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTELASEC AND ITS AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE OR YOUR RELIANCE ON SITE CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTELASEC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

The limitations in this section apply regardless of the theory of liability and even if Intelasec has been advised of the possibility of such damages.Some jurisdictions do not permit certain exclusions or limitations of liability.

In those jurisdictions, these provisions apply only to the maximum extent permitted by law.

12. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Intelasec and its affiliates, officers, directors, members, employees, and agents from and against claims, liabilities, damages, losses, and reasonable costs and expenses arising from your material violation of these Terms, your unlawful use of the Site, or your infringement or violation of another person's rights through your use of the Site.

13. Privacy

Your use of the Site is also subject to our Privacy Policy, which describes how information may be processed in connection with the Site.

14. Governing Law

These Terms and any dispute arising out of or relating to the Site or these Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

Subject to applicable law, any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.

15. Changes to These Terms

Intelasec may update these Terms from time to time.

When we make changes, we will revise the “Last updated” date at the top of this page. Your continued use of the Site after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

16. General

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by applicable law.

Intelasec's failure to enforce a provision of these Terms does not waive its right to enforce that provision or any other provision.

These Terms constitute the agreement between you and Intelasec concerning your use of the public Site, except to the extent another written agreement between you and Intelasec expressly governs the matter at issue.
